Terms of Service & Client Agreement

Effective Date: March 30, 2026

SYNCivate AI (“SYNCivate,” “we,” “our,” or “us”), a business operated by Halah Kablan Ladson (“Founder”), provides AI automation consulting, GHL system builds, voice AI deployment, workflow automation, and related digital services (“Services”) to small and mid-sized businesses.

By engaging our services, booking a call, submitting a form, or making any payment, you (“Client”) agree to the terms below. These terms protect both parties and establish a clear foundation for our working relationship.

1. Scope of Work

All services provided by SYNCivate AI are defined in the Client’s signed proposal, project brief, statement of work, or invoice. The agreed scope includes only what is specified in those documents.

Additional services or revisions outside the original scope — including added automations, GHL workflow builds, integrations, voice AI modifications, or strategy sessions — require a new agreement or written change order and may include additional fees.

Project timelines depend on the Client’s responsiveness, timely feedback, and submission of required assets, credentials, and approvals.

2. Payment Terms

All payments are due as outlined in the applicable invoice or proposal.

  • Deposits are non-refundable and required to secure a project start date.
  • Remaining balances must be paid in full prior to final delivery of files, system access, credentials, or live handover.
  • Payment plans, if offered, must be approved in writing. Missed payments may result in suspension of services and additional fees.
  • Final deliverables — including GHL sub-accounts, automation workflows, voice AI configurations, and login credentials — remain the property of SYNCivate AI until all payments are received in full.
  • All sales are final. No refunds are issued once work has commenced, due to the customized, labor-intensive nature of our services.

3. SYNC-Point Discovery Call ($97)

The SYNC-Point is a paid 20-minute strategy session with SYNCivate AI’s Founder, Halah Kablan Ladson. The $97 fee is credited in full toward any paid service package.

  • Payment is required at time of booking.
  • The $97 credit is non-transferable and must be applied within 30 days of the SYNC-Point call.
  • Cancellations made less than 24 hours before the scheduled call forfeit the session. One rescheduling is permitted with 24+ hours’ notice.

4. SMS Communications & A2P Messaging

SYNCivate AI uses SMS messaging to communicate with clients, leads, and prospects through our GHL-based communication system. By providing your phone number and checking the SMS consent box on any SYNCivate AI form, you agree to the following:

Marketing Messages: By opting in, you consent to receive SMS messages from SYNCivate AI regarding our services, offers, audit results, appointment reminders, and follow-up communications. Message frequency varies. Message and data rates may apply.

Transactional Messages: You may also receive non-marketing SMS messages related to appointment confirmations, reminders, booking links, and service updates.

Opt-Out: You may opt out of SMS communications at any time by replying STOP to any message. After opting out, you will receive one final confirmation message. To re-subscribe, reply START.

No Third-Party Sharing: Your phone number and consent data will never be sold, rented, or shared with third parties for their own marketing purposes.

Carriers: SYNCivate AI is not responsible for delayed or undelivered messages due to carrier issues beyond our control.

All SMS communications are handled in compliance with the Telephone Consumer Protection Act (TCPA), CTIA guidelines, and applicable A2P 10DLC carrier requirements.

5. Intellectual Property & Ownership

All creative materials, automation frameworks, GHL workflow templates, AI prompt systems, voice agent scripts, and digital systems produced by SYNCivate AI remain the intellectual property of SYNCivate AI until final payment is received.

Upon receipt of full payment, the Client receives a limited, non-exclusive license to use the completed deliverables for their own business operations.

The Client may not copy, resell, sublicense, distribute, or teach SYNCivate AI’s proprietary frameworks, systems, templates, or automation structures without prior written consent.

6. Confidentiality

Both parties agree to maintain confidentiality regarding any sensitive, proprietary, or business information exchanged during the project or service engagement.

SYNCivate AI will not share Client information, business data, or project details without written permission, unless required by law.

SYNCivate AI reserves the right to reference completed, public-facing work (website builds, automation results, anonymized case studies) for portfolio or marketing purposes, unless the Client requests confidentiality in writing.

7. Client Responsibility

SYNCivate AI provides strategy, systems, and tools — results depend on the Client’s participation and implementation.

The Client agrees to:

  • Provide accurate information, timely feedback, and required access credentials.
  • Complete any assigned tasks, approvals, or onboarding steps.
  • Communicate respectfully and professionally.
  • Maintain their own GHL subscription and any third-party tools required for the project.

Results may vary based on effort, market conditions, business model, and follow-through. SYNCivate AI cannot guarantee specific business outcomes, revenue figures, or lead conversion rates.

8. Cancellations & Rescheduling

For strategy or consulting sessions, 24 hours’ notice is required for rescheduling. Sessions missed without notice are forfeited.

For automation builds or GHL system projects, cancellations must be submitted in writing. Work completed through the date of cancellation will be invoiced in full. Deposits are non-refundable.

9. No Refund Policy

All payments made to SYNCivate AI are final and non-refundable. Due to the customized, time-intensive nature of AI automation, GHL builds, and consulting services, refunds cannot be issued once work has commenced or access to systems has been delivered.

10. Project Pause & Reinstatement

If a project becomes inactive for more than 30 consecutive days due to delayed responses, missing assets, or withheld approvals from the Client, the project will be considered paused. During a pause, project timelines are no longer guaranteed and team capacity may be reallocated.

If a project remains inactive beyond 60 days, a Project Reinstatement Fee of $500–$1,000 will apply before work resumes. Work will not resume until the reinstatement fee is paid in full.

Projects inactive beyond 90 days may require a revised scope, updated pricing, and a new agreement.

11. Right to Terminate

SYNCivate AI reserves the right to terminate or pause services if:

  • The Client fails to meet payment obligations.
  • The Client is unresponsive for more than 14 consecutive days.
  • The Client engages in disrespectful or disruptive behavior.
  • Continued engagement poses legal, reputational, or operational risk.

No refunds will be issued if services are terminated due to Client actions or inactions.

12. Limitation of Liability

SYNCivate AI and Halah Kablan Ladson are not liable for any indirect, consequential, incidental, or punitive damages resulting from the use of services, tools, automations, or materials.

In all cases, total liability shall not exceed the total amount paid by the Client for the specific project or engagement in question.

13. Legal Disclaimer

All SYNCivate AI services, systems, and consulting are provided for operational and business development purposes only. They do not constitute legal, financial, medical, or psychological advice. Clients are encouraged to consult licensed professionals for matters outside our scope.

14. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to conflict of law principles. Any disputes shall be resolved in Mecklenburg County, North Carolina.

15. Acceptance

By booking a call, submitting a form, signing a proposal, or making a payment, the Client confirms they have read, understood, and accepted these Terms of Service.
